This includes: executive compensation, employee benefits, and global employee equity compensation programs. This position may be based in Sunnyvale, California or Austin, Texas and will report to the Director, Compensation & Benefits.

Key Qualifications

  • 5 or more years of meaningful legal experience.
  • Strong technical knowledge of federal tax and securities laws (IRC, ’33 and ’34 Acts, Sarbanes-Oxley, Dodd-Frank, ERISA)
  • Familiarity with foreign laws related to employee stock plans in non-US jurisdictions is helpful.

Description

This role will be primarily responsible for providing M&A support, including diligence and integration, for domestic and cross-border transactions, advising on executive and broad-based compensation and benefits programs and related corporate governance matters. It will assist with the preparation of materials for meetings of the Compensation Committee of the Board of Directors and compensation-related disclosure items. Additionally, it will support internal teams on issues related to our global employee stock plans and compensation programs generally.

Education & Experience

Candidates should have JD with at least 5 years of experience at a top law firm and/or in-house legal department, outstanding academic credentials, exceptional references, excellent verbal and written communication skills, strong organizational abilities, a desire to work in a fast-paced environment, a sense of humor, and an absolute dedication to excellence and integrity.
